Phase One:
a) Legal and commercial aspects of corporatization
The legal and commercial corporatization tasks will comprise all of the procedural, legal, and operational requirements for establishing a corporation, effecting the transfer and insuring that the company has the rights and authorities needed to conduct the business.
b) Accounting and financial management

The scope of human resources management in Phase I is to carry out a due diligence of the organizational structure of BPDB, staffing issues, and employment rules and personnel procedures.
Phase Two:
- Development of Management Information System
- Assistance in Corporatization /Initial Operation
Finalize corporate governance issues including (a) the roles and responsibilities of the Board of Directors, approval/authorizations, stockholder rights;
Finalize human resources plans including (a) employee transfer scheme;(b) voluntary early retirement plan; and (c) new employment terms and conditions, and (d) organizational structure and staffing for the new company;
Finalize financial management operations including (a) identifying and evaluating the assets and liabilities to be vested to the new company; (b) establishing the debt/equity structure of the new company at the outset and the share and loan capitals of the new company; and (e) presenting a ten year corporate plan for the new company; |
